End User License
Agreement (EULA)

1 Grant of License

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:

• download and install one copy of the App on a mobile device you own or control; and
• use the App solely for your personal, non-commercial safety monitoring purposes.

This license does not include the right to:

• sublicense, sell, resell, transfer, assign, or commercially exploit the App or any portion thereof
• modify, translate, adapt, or create derivative works based on the App
• reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• remove, alter, or obscure any proprietary notices in the App
• use the App to build a competing product or service
• use the App for any unlawful purpose

2 Ownership and Intellectual Property

The App, including all content, features, design, software, algorithms, trademarks, logos, and documentation, is and remains the exclusive property of SAP Factory, LLC and its licensors.

The "SafetyCheck" name, the SafetyCheck logo (blue circle with ECG line), and all related marks are trademarks of SAP Factory, LLC. You may not use these marks without prior written consent.

This Agreement grants you no ownership interest in the App. All rights not expressly granted are reserved by the Company. Any feedback, suggestions, or ideas you provide regarding the App may be used by the Company without restriction or compensation to you.

3 Account and Emergency Contact

You must create an account to use SafetyCheck. You are responsible for all activity that occurs under your account and must keep your information accurate and current.

By designating an emergency contact, you confirm that:

• you have informed that person they are your emergency contact
• they have consented to receive automated calls and SMS messages from SafetyCheck on your behalf
• you accept responsibility for obtaining that consent

4 Critical Safety Disclaimer

The Company makes no guarantee that:

• notifications, SMS messages, or phone calls will be delivered in a timely manner or at all
• the App will function correctly under all network conditions, device states, or geographic locations
• your emergency contact will receive, read, or respond to any alert
• the App will be available or error-free at all times

The effectiveness of SafetyCheck depends on factors outside the Company's control, including cellular network availability, GPS signal quality, device battery status, and your emergency contact's availability and response.

5 Disclaimer of Warranties

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you in full.

6 Limitation of Liability

7 Indemnification

You agree to indemnify, defend, and hold harmless SAP Factory, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• your use of the App
• your violation of this Agreement
• your violation of any third party's rights
• any false or misleading information you provide in connection with the App

8 Subscriptions and Payments

SafetyCheck may offer free and paid subscription tiers. Where a paid subscription is available, it is billed on a recurring basis through Apple App Store or Google Play Store.

• All billing is managed by Apple or Google — the Company does not store or process your payment card details
• You may cancel your subscription at any time through your App Store or Google Play account settings
• Cancellation takes effect at the end of the current billing period
• The Company reserves the right to change subscription pricing with at least thirty (30) days' prior notice

9 Privacy

Your use of the App is governed by our Privacy Policy, available at mysafetycheck.app/privacy/, which is incorporated into this Agreement by reference. By using the App, you consent to the data practices described in the Privacy Policy.

10 Termination

This Agreement is effective until terminated. Your rights terminate automatically if you fail to comply with any term of this Agreement. The Company reserves the right to suspend or terminate your account at any time, with or without notice, if you violate this Agreement or use the App in a way that may cause harm to others.

Upon termination, you must cease all use of the App and delete all copies from your devices. Sections 2, 4, 5, 6, 7, 11, and 12 survive termination.

11 Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Maryland, USA, without regard to conflict of law principles.

Any dispute arising under this Agreement shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction. If you are a consumer in the EU or UK, nothing in this Agreement affects your statutory rights under applicable consumer protection law in your country of residence.

12 General Provisions

• Entire Agreement. This Agreement, together with our Privacy Policy and Terms & Conditions, constitutes the entire agreement between you and the Company regarding the App.
• Severability. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in full force.
• No Waiver. Failure to enforce any right under this Agreement shall not constitute a waiver of that right.
• Updates. The Company may update this Agreement from time to time. We will notify you of material changes via push notification or in-app notice. Continued use after notice constitutes acceptance.
• Assignment. You may not assign this Agreement without prior written consent from the Company. The Company may assign this Agreement freely.
